Terms of Service

Last updated October 23, 2026

These terms govern your use of the Active Agent platform at activeagents.ai (the "Service"), operated by Active Agent ("we", "us"). By creating an account or using the Service you agree to them. The open-source gems are licensed separately under the MIT License and are not covered here.

Your account

You need an account to use the Service. You are responsible for what happens under it: keep your password and API keys private, and tell us at once if you think someone else has used them. You must be at least 16 and able to enter a contract. If you create a workspace for a company, you confirm you can bind that company to these terms.

Workspaces and members

A workspace belongs to the account that created it. The owner can invite members, change their roles and remove them. Members see the traces, agents and sandboxes in the workspace. Anything a member sends to a workspace is the workspace owner's responsibility.

Your data

You own the traces, prompts, completions, agent definitions and sandbox output you send to the Service ("your content"). You give us the right to store, process and display it so we can provide the Service to you and your workspace. We do not use your content to train AI models or share it with anyone outside your workspace except as described in our Privacy Policy.

You are responsible for your content: you must have the right to send it, and it must not include anything unlawful or anything you are not allowed to share with us, such as data covered by regulations you have not told us about.

Acceptable use

Do not use the Service to break the law, to attack or probe other systems, to send spam, to run crypto mining or other workloads that are not agent development, to circumvent plan limits, or to resell the Service as your own. Do not try to access other people's workspaces. Hosted sandboxes may run only the agents you are developing or evaluating. We may suspend accounts that violate this section.

Plans, payment and trials

Paid plans are billed in advance by subscription through Stripe at the prices shown on the pricing page. Plan limits (traces per month, retention, sandbox executions and seats) are part of the plan. Every workspace starts with a free trial; when it ends the workspace continues on the free tier unless you subscribe. You can cancel at any time from Settings and your plan continues to the end of the paid period. Fees are not refunded for partial periods unless the law requires it. We may change prices with at least 30 days' notice, applied at your next renewal.

Retention and deletion

Traces are kept for your plan's retention period and are then deleted. If your plan is downgraded, traces beyond the new retention period are deleted. If you close your account we delete your workspace data within 30 days. We are not a backup service: keep your own copies of anything you need.

Availability and changes

We work to keep the Service available and will tell you about planned maintenance when we can, but we do not promise uninterrupted service. We may change or retire features, and we will give reasonable notice of changes that remove something you rely on. Enterprise agreements may include specific uptime commitments that take precedence over this section.

Intellectual property

The Service, its design and its software (other than the open-source gems) belong to us. You may not copy, modify or reverse engineer it except as the law allows. Feedback you give us about the Service may be used without obligation to you.

Third-party services

The Service connects to third parties you choose, such as Google and GitHub for sign-in, Stripe for payment, and the AI model providers your application calls. Their terms apply to your use of them. We are not responsible for their availability or conduct.

Disclaimer and limitation of liability

The Service is provided "as is". To the extent the law allows, we disclaim all warranties, including fitness for a particular purpose, and we are not liable for indirect, incidental or consequential damages, lost profits, or lost data. Our total liability for any claim relating to the Service is limited to the amount you paid us in the 12 months before the claim. Some places do not allow these limits, in which case they apply to the extent permitted.

Termination

You can close your account at any time. We can suspend or close an account that breaks these terms, after notice where practical, and we can close free accounts that have been inactive for a year after emailing you first. Sections about your data, intellectual property, liability and disputes survive termination.

Disputes

These terms are governed by the laws of the United States and of the state in which Active Agent is organized, without regard to conflict-of-law rules. Before bringing a claim, write to us and give us 30 days to resolve it.

Changes to these terms

When we change these terms we update the date at the top and, for changes that matter, email account holders at least 14 days before they take effect. Using the Service after that date means you accept the new terms.
